Terms and conditions of sale

These general terms and conditions govern the provision of services by Alpative to its clients. By engaging Alpative's services, the client accepts these terms in their entirety. Any derogation must be agreed in writing.

Definitions

Alpative refers to the service provider, operating from Haute-Savoie (74), France.

Client refers to any natural or legal person who engages Alpative for the provision of services.

Services refers to the digital marketing, consulting, training, development and maintenance services described in the proposal or contract signed between the parties.

Proposal refers to the written document detailing the scope, deliverables, timeline and pricing of the engagement.

Scope of services

The nature and scope of services are defined exclusively in the proposal signed by both parties. Any request that falls outside the agreed scope constitutes an additional engagement and requires a separate written agreement.

Alpative reserves the right to use subcontractors or third-party tools (hosting providers, API services, analytics platforms) to deliver the agreed services. Alpative remains solely responsible to the client for the quality and delivery of the services.

Proposals and acceptance

Proposals issued by Alpative are valid for 30 calendar days from the date of issue unless otherwise stated. Acceptance is confirmed by the client's written agreement (email or signed document) and, where applicable, payment of the deposit specified in the proposal.

Pricing and payment

Prices are quoted in euros (EUR) exclusive of tax (HT), unless otherwise specified. VAT is applied at the applicable French rate.

Payment terms are defined in each proposal. Unless otherwise agreed, a deposit of 30% is due upon acceptance. The balance is invoiced upon delivery or according to the milestone schedule defined in the proposal.

Invoices are payable within 30 calendar days of issue. Late payment incurs interest at three times the legal interest rate in force, calculated from the due date. A fixed recovery charge of EUR 40 applies to any late payment, in accordance with Article L.441-10 of the French Commercial Code.

Client obligations

The client undertakes to provide, within agreed timescales, all information, access credentials, content and materials necessary for the delivery of the services. Delays attributable to the client may result in adjusted delivery timelines.

The client is responsible for the accuracy and legality of the content, data and materials they provide to Alpative.

Intellectual property

All deliverables created by Alpative in the course of the engagement (designs, code, content, configurations) are transferred to the client upon full payment of all invoices related to the engagement.

Third-party tools, plugins, fonts and software used in the delivery of services remain subject to their respective licences. Alpative does not transfer ownership of third-party intellectual property.

Alpative retains the right to reference the engagement (client name, project type, general description) in its portfolio and marketing materials, unless the client objects in writing.

Confidentiality

Each party undertakes to keep confidential all information designated as confidential by the other party or that reasonably should be understood as confidential. This obligation applies during and for 2 years following the termination of the engagement.

Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Liability

Alpative commits to delivering the agreed services with professional diligence. Alpative's liability is limited to direct damages and shall not exceed the total fees paid by the client for the specific engagement from which the claim arises.

Alpative shall not be liable for indirect, consequential or incidental damages, including loss of revenue, loss of data or loss of business opportunity.

Results achieved through digital marketing services (traffic, rankings, conversion rates, return on ad spend) are influenced by factors beyond Alpative's control, including market conditions, competitor activity, algorithm changes and client actions. Alpative provides methodology, expertise and transparent reporting but does not guarantee specific performance outcomes.

Duration and termination

The duration of each engagement is defined in the proposal. Recurring services (maintenance, campaign management) operate on a monthly basis unless otherwise specified.

Either party may terminate a recurring engagement with 30 calendar days' written notice. Termination does not affect payment obligations for services already delivered.

In the event of material breach by either party, the non-breaching party may terminate the engagement with immediate effect after giving written notice and allowing 15 calendar days for remedy.

Personal data

Alpative processes personal data in compliance with GDPR (EU) 2016/679 and Switzerland's FADP. The categories of data processed, the purposes of processing and the rights of data subjects are described in our privacy policy.

Where Alpative processes personal data on behalf of the client (e.g., analytics data, lead data), a data processing agreement defines the respective responsibilities of each party.

Force majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, labour disputes, infrastructure failures and cyberattacks. The affected party shall notify the other promptly and resume performance as soon as the force majeure event ceases.

Applicable law and jurisdiction

These terms and conditions are governed by French law. Any dispute arising from or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Annecy, France, unless otherwise provided by applicable consumer protection legislation.

Amendments

Alpative reserves the right to amend these terms and conditions. The version applicable to each engagement is the version in force at the date of proposal acceptance. Current terms are published at alpative.com/en/terms-and-conditions.
